Mutual Non-Disclosure Agreement
This Mutual Non-Disclosure Agreement ("Agreement") is made between GLOBALCELL WORLD and the company that accepts it by ticking "I accept the Mutual NDA" when signing up on globalcell.dev (each a "Party"). The person accepting confirms they are authorised to bind their company. The Parties wish to exchange information to evaluate and carry out a business relationship concerning eSIM data services (the "Purpose").
1. Confidential Information
"Confidential Information" means all non-public information disclosed by one Party ("Discloser") to the other ("Recipient") in connection with the Purpose, in any form, that is marked confidential or that a reasonable person would understand to be confidential. This includes wholesale prices, commercial terms, API credentials, technical documentation not published by the Discloser, network and coverage arrangements, customer information and business plans.
2. Obligations
The Recipient will: (a) use Confidential Information only for the Purpose; (b) not disclose it to anyone except its employees, officers, contractors and professional advisers who need to know it for the Purpose and are bound by confidentiality obligations at least as protective as this Agreement; and (c) protect it with at least the care it uses for its own confidential information, and no less than reasonable care. The Recipient is responsible for any breach by the people it discloses to.
3. Exclusions
Obligations do not apply to information that the Recipient can show: (a) is or becomes public without breach of this Agreement; (b) it already lawfully knew without a duty of confidentiality; (c) it lawfully received from a third party without a duty of confidentiality; or (d) it developed independently without using Confidential Information.
4. Required disclosure
The Recipient may disclose Confidential Information when required by law, regulation or court order, provided that, where lawful, it gives the Discloser prompt notice and discloses only what is required.
5. No licence, no warranty, no obligation
All Confidential Information remains the property of the Discloser. No licence is granted except to use it for the Purpose. Confidential Information is provided "as is". Neither Party is obliged to enter into any further agreement or transaction.
6. Term
This Agreement starts on acceptance and continues for two (2) years, unless replaced by a partner agreement with its own confidentiality terms. Obligations for information disclosed during the term continue for three (3) years after it ends, and for trade secrets and API credentials for as long as they remain confidential.
7. Return or destruction
On the Discloser's written request, the Recipient will promptly return or destroy the Discloser's Confidential Information, except copies kept in routine backups or required to be kept by law, which remain subject to this Agreement.
8. Remedies
Unauthorised disclosure may cause harm for which damages are not an adequate remedy. The Discloser may seek injunctive or other equitable relief in addition to any other remedies.
9. General
This Agreement is the entire agreement between the Parties on its subject and may be changed only in writing. Neither Party may assign it without the other's consent, except to a successor of its business. If any provision is unenforceable, the rest remains in effect. Acceptance by click is a valid signature. The governing law and courts will be stated in the final version of this Agreement.
10. Record of acceptance
When you accept this Agreement we record the version (mnda-2026-11-v1), the date and time and the IP address used. Questions: hello@globalcell.partners.
